Focused solely on retail real estate, RioCan is one of Canada’s largest retail landlords and owns a portfolio of 188 shopping centres across the country, comprising in excess of 48,000,000 square feet. |

Sam L. Leeper, Chief Executive Officer of Pawnee, joined Pawnee in 1997 and was made President in 1999. Prior to joining Pawnee, Sam completed 27 years in banking focusing on credit and bank administration. He served as President of a number of Colorado banks and prior to joining Pawnee was Senior Vice President of Bank One, Colorado. His degrees in Engineering and an MBA are from the University of Illinois and Indiana University respectively. |

Clare R. Copeland |

Mr. Copeland is the Chief Executive Officer for Falls Management Company, a commercial development and casino in Niagara Falls, Ontario. Mr. Copeland is also Chairman of Toronto Hydro, a position he has held since 1999, and, from the beginning of 2000 until April 2002, Mr. Copeland was Chairman and Chief Executive Officer of OSF Inc., a manufacturer of retail store interiors. From 1993 to May 1999, he was Chief Executive Officer of People's Jewellers Corporation, a jewellery retailer. Mr. Copeland is also a trustee of Custom Direct Income Fund, RioCan Real Estate Investment Trust and is a director of Scott’s Restaurants and Dove Corporation. |

Jeffrey Wortsman |

Mr. Wortsman joined Danier Leather in 1986 as Vice-President and has held the office of President and CEO since 1994. Mr. Wortsman is also a director of Danier Leather Inc. Mr. Wortsman holds a B.A. in Economics as well as LL.B. and MBA degrees. |

Barry Shafran, CA |

Mr. Shafran has extensive experience in change management. He has held the office of President of the Corporation since July 7, 1999, and more recently as President and Chief Executive Officer. From June 1998 to July 1999, Mr. Shafran served as the Director of Business Development and Senior Vice-President of Operations of CryptoLogic Inc., one of Canada's most profitable public Internet businesses, the common shares of which trade on The Toronto Stock Exchange.
Mr. Shafran was President of a division of Aramark Canada from November 1996 to June 1998, and served as President of Selena Coffee Ltd., a Van Houtte company, from 1989 to 1994.
A Chartered Accountant, Mr. Shafran also holds a Bachelor of Arts degree in Commerce from the University of Toronto. |

Robert J. Day |

Robert J. Day, Chairman of Pawnee, founded Pawnee in 1982. He spent four years with the U.S. Marine Corps and, following his Marine duty, spent two years in banking and finance before obtaining a degree in Optometry from Southern California College of Optometry.
Mr. Day has been instrumental in Pawnee’s success, and continues to be active in developing and overseeing the company’s strategy and operating policies, particularly in marketing and in exploring new opportunities that are complimentary to Pawnee’s mission. Mr. Day received his B.S. degree in Finance from the University of Tennessee in 1965. |

Ms. Stevenson has been the Director of Finance of cars4U Ltd. since February 2000. For the three years prior to joining cars4U Ltd., Lisa gained valuable experience as Controller of a leading public electronic commerce company. In addition to her CA, Ms. Stevenson has an MBA focusing in International Trade, as well as a Bachelor of Business Management. |
